Agreement to Terms

By accessing or using Manna Ink (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms constitute a legally binding agreement between you and Manna Ink ("we," "us," or "our").

1. Description of Service

Manna Ink is a meeting transcription and AI-powered notes application that provides:

  • Audio recording and transcription services
  • AI-powered summarization and analysis
  • Collaboration features for teams
  • Cloud storage and synchronization
  • API integrations (when you provide your own keys)

2. Eligibility

Age Requirement

You must be at least 13 years old to use the Service. If you are between 13 and 18, you must have parental or guardian consent.

Account Accuracy

You agree to:

  • Provide accurate, current information
  • Maintain the security of your account
  • Notify us immediately of any unauthorized access
  • Be responsible for all activities under your account

4. Payment Terms

Billing

  • Subscriptions: Billed monthly or annually in advance
  • Auto-renewal: Subscriptions automatically renew unless canceled
  • Credit Packs: One-time purchases, non-refundable
  • Payment Processor: Stripe

Cancellation

You may cancel your subscription at any time:

  • Immediate cancellation: Access ends immediately, no refund for current period
  • End of period cancellation: Access continues until period end

Refunds

  • No refunds for partial subscription periods
  • No refunds for unused credits
  • Refunds may be granted at our sole discretion for service failures

5. Acceptable Use Policy

You Agree NOT To:

Illegal Activities

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit illegal content
  • Engage in fraud or deceptive practices

Abuse of Service

  • Attempt to gain unauthorized access
  • Interfere with or disrupt the Service
  • Use automated tools to scrape data
  • Reverse engineer the application

Inappropriate Content

  • Upload content you don't have rights to
  • Share content containing malware
  • Transcribe copyrighted material without permission

Account Misuse

  • Create multiple accounts to abuse free tiers
  • Share your account with others
  • Impersonate others

⚠️ Violation of these terms may result in immediate account termination.

6. Recording and Consent

⚖️ Your Responsibility

When recording conversations:

  • You are responsible for obtaining consent from all parties
  • Recording laws vary by jurisdiction (one-party vs. two-party consent)
  • We are not liable for your failure to obtain consent
  • Consult local laws before recording

Disclaimer

We do not monitor or verify that you have obtained proper consent. Recording without consent may be illegal in your jurisdiction. Manna Ink provides technology, not legal advice.

7. Intellectual Property

📝 Your Content

You retain all rights to your recordings and transcripts.

You grant us a limited license to:

  • Store and process your content
  • Provide transcription services
  • Enable collaboration features
  • Make backups for service reliability

We do NOT:

  • ❌ Claim ownership of your content
  • ❌ Use your transcripts to train AI models
  • ❌ Share your content with third parties

🔒 Our IP

The Service, including software, code, algorithms, user interface, design, trademarks, and documentation, are owned by Manna Ink and protected by intellectual property laws.

You may not:

  • Copy, modify, or create derivative works
  • Reverse engineer or decompile
  • Remove copyright or trademark notices
  • Use our trademarks without permission

8. Third-Party Services

BYOK (Bring Your Own Keys)

When you use your own API keys:

  • You're subject to the provider's terms (OpenAI, Anthropic, etc.)
  • We act as a pass-through and are not responsible for their service
  • API costs are your responsibility
  • We do not guarantee availability of third-party services

Integrations

We may integrate with calendar services, export destinations, and communication platforms. You're responsible for complying with their respective terms of service.

9. Disclaimers and Limitations

⚠️ Accuracy Disclaimer

TRANSCRIPTION ACCURACY:

  • Transcriptions may contain errors
  • Quality depends on audio quality, accents, background noise
  • We do not guarantee 100% accuracy
  • Always review transcripts for important use cases

AI-GENERATED CONTENT:

  • Summaries and insights are AI-generated
  • May contain inaccuracies or hallucinations
  • Not suitable for critical decisions without human review
  • We are not liable for decisions based on AI output

No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: Merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free service.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

MANNA INK SHALL NOT BE LIABLE FOR: Indirect, incidental, or consequential damages; loss of profits, data, or goodwill; service interruptions or errors; unauthorized access to your data; or actions of third-party service providers.

OUR TOTAL LIABILITY SHALL NOT EXCEED: The amount you paid us in the 12 months before the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless Manna Ink, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your failure to obtain recording consent
  • Content you upload or share

11. Termination

Your Rights

You may terminate your account at any time through Settings or by emailing support@manna.ink

Our Rights

We may suspend or terminate your account if:

  • You violate these Terms
  • Your account is inactive for 12+ months (Free tier)
  • You engage in abuse or fraud
  • Required by law

Effects of Termination

Upon termination: Your access ends immediately, subscriptions stop (no refund for current period), your data will be deleted per our Privacy Policy, and you must stop using the Service.
